These Terms constitute the entire agreement between you and Vitae Health Ltd regarding your use of our Services, superseding any prior agreements between you and us relating to your use of our

Services Description
Vitae Health Ltd provides AI-powered recruitment solutions, including but not limited to:
- Automated recruitment funnels and candidate sourcing.
- AI-powered candidate matching and screening.
- SaaS recruitment platform access and licensing.
- Recruitment consultancy and advisory services.
- Technology integration and training services.
User Obligations
You agree to:
- Use our Services only for lawful purposes and in accordance with these Terms.
- Provide accurate and complete information when using our Services.
- Maintain the confidentiality of any login credentials.
- Not misuse our Services or attempt to access them through unauthorized means.
- Comply with all applicable laws, including data protection and employment legislation.
Data Protection and Privacy

Payment Terms and Pricing
Payment terms for our Services will be specified in your service agreement or invoice. Unless otherwise agreed:
- All fees are exclusive of VAT, which will be added where applicable.
- Payment is due within 30 days of invoice date.
- We reserve the right to suspend Services for non-payment.
- Late payment may incur interest charges at 8% above the Bank of England base rate.
Cancellation and Refund Policy
Consumer Rights: If you are a consumer, you have the right to cancel your order within 14 days of placing it, in accordance with the Consumer Contracts (Information, Cancellation and AdditionalCharges) Regulations 2013.
Business Clients: For ongoing services that have commenced, no refund will be offered. Any amount paid for unused Services will be refunded on a pro-rata basis.
Limitation of Liability
Consumer Protection: Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under UK law.
Subject to the above, our total liability to you for all claims arising from or in connection with these Terms or our Services shall not exceed the amount paid by you to us in the 12 months preceding theclaim.
We exclude liability for indirect, special, incidental, or consequential damages, including but not limited to loss of profits, business interruption, or loss of data
Force Majeure
Neither party shall be liable for any failure to perform due to events beyond reasonable control, including but not limited to acts of God, terrorism, war, natural disasters, government actions, or pandemic-related restrictions.
Termination
Either party may terminate the Agreement with reasonable notice. We may immediately suspend or terminate your access to our Services if you breach these Terms or we reasonably believe you have engaged in fraudulent or illegal activity.
Dispute Resolution
These Terms are governed by English law. Any disputes arising will be subject to the exclusive jurisdiction of the English courts, except where you are a consumer and have the right to bring proceedings in your local court.
We encourage early resolution of disputes through direct communication. For consumer disputes, you may also access the EU Online Dispute Resolution platform or contact Trading Standards.
Changes to These Terms
We reserve the right to modify these Terms to reflect changes in law or our Services. We will provide reasonable notice of material changes and, where required by law, obtain your consent.
Continued use of our Services after changes take effect constitutes acceptance of the revised Terms.
